Welcome to Atelier Diaphano! The terms “we”, “us” and “our” refer to Atelier Diaphano, a brand owned and operated by Ravneet Textiles Private Limited, an Indian incorporated entity (“Company”). Atelier Diaphano operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the “Services”). Atelier Diaphano is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (the “Terms”), together with any policies referenced herein, describe your rights and responsibilities when you use the Services. By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you should not use or access our Services.
SECTION 1 - ACCESS AND ACCOUNT
By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence. To use the Services, including browsing or purchasing, you may be asked to provide information such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current and complete and that you have the rights necessary to provide this information.
You are solely responsible for maintaining the security of your account credentials and for all account activity. You may not transfer, sell, assign, or license your account to any other person.
SECTION 2 - OUR PRODUCTS
We make every effort to provide accurate representations of our products. However, colors and appearance may vary due to device settings and configurations. We do not warrant that the appearance or quality of any products or services will meet your expectations beyond the descriptions provided.
All descriptions of products are subject to change at any time without notice at our sole discretion. We may discontinue products at any time and may limit quantities offered to any person, region or jurisdiction on a case-by-case basis.
SECTION 3 - ORDERS
When you place an order, you make an offer to purchase. Atelier Diaphano may accept or decline your order at its discretion. Your order is accepted only when we confirm acceptance and successfully process your payment. Please review your order carefully before submitting, as we will be unable to accommodate cancellation requests after acceptance. If we do not accept, make a change to, or cancel an order, we will attempt to notify you using the contact details provided with your order.
Your purchases are subject to return or exchange solely in accordance with our Refund & Returns Policy. You represent and warrant that purchases are for personal or household use and not for commercial resale or export.
SECTION 4 - PRICES AND BILLING (GST-EXCLUSIVE)
All prices displayed on our website are in Indian Rupees (INR) and are inclusive of applicable Goods and Services Tax (GST). Prices, discounts and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email.
You agree to provide current, complete and accurate purchase, payment and account information for all purchases. You agree to promptly update your information, including email address, delivery address and payment details, so we can complete your transactions and contact you as needed. You represent and warrant that (i) the payment information you provide is true, correct, and complete, (ii) you are duly authorized to use such payment method, and (iii) charges incurred by you will be honored by your payment provider. We accept payments via Shopify Payments (UPI, credit/debit cards, and net banking). Cash on Delivery (COD) is currently not offered.
SECTION 5 - SHIPPING AND DELIVERY (INDIA ONLY)
We currently ship within India only. Delivery times are estimates and not guaranteed. We are not responsible for delays caused by carriers, logistics constraints, customs or other events outside our control. Title and risk of loss pass to you upon transfer of the products to the carrier. For further details, please refer to our Shipping Policy.
SECTION 6 - INTELLECTUAL PROPERTY
The Services, including all trademarks, brands, designs, artworks, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement thereof, are owned by Atelier Diaphano (Ravneet Textiles Private Limited), its affiliates or licensors, and are protected by Indian intellectual property laws.
These Terms permit you to use the Services for personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store, or transmit any material on the Services without the prior written consent of the Company. Except as expressly provided herein, nothing grants you any license or rights under any patent, trademark, copyright, design, or other intellectual property of Atelier Diaphano, Shopify or any third party. Unauthorized use may violate applicable laws. All rights not expressly granted are reserved by Atelier Diaphano.

You may be provided access to customer tools offered by third parties, which we neither monitor nor control. We provide access to such tools “as is” and “as available” without warranties, representations or conditions and without endorsement. We have no liability arising from or relating to your use of optional third‑party tools. Your use is at your own risk, and you should ensure you understand the applicable third‑party terms. New features released through the Services will also be subject to these Terms.

The Services may contain materials and links to third‑party websites or embedded functionality. We are not responsible for examining or evaluating the content or accuracy of third‑party materials or websites. If you access third‑party sites, you do so at your own risk. SECTION 9 - RELATIONSHIP WITH SHOPIFY
Atelier Diaphano is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make are made directly with Atelier Diaphano. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Atelier Diaphano, including any injury, damage, or loss resulting from purchased products or services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Atelier Diaphano.
SECTION 10 - PRIVACY POLICY
Personal information we collect through the Services is subject to our Privacy Policy, and certain personal information may be subject to Shopify’s Privacy Policy. Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services to operate and improve the Services. Information you submit may be transmitted to and shared with Shopify and service providers, which may be located outside your state or country, to provide services to you. Sections intended to survive termination will continue to apply, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, and Privacy Policy.

EXCEPT AS EXPRESSLY STATED BY ATELIER DIAPHANO OR REQUIRED BY INDIAN LAW, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON‑INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR‑FREE.
SECTION 16 - LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL ATELIER DIAPHANO (RAVNEET TEXTILES PRIVATE LIMITED), OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR DIRECT DAMAGES SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.
SECTION 17 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Atelier Diaphano, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from losses, damages, liabilities or claims, including reasonable attorneys’ fees, arising out of (1) your breach of these Terms or the policies referenced, (2) your violation of law or third‑party rights, or (3) your access to and use of the Services. We may control the defense and settlement of such claims at your expense, and you explicitly agree to cooperate with us.
SECTION 18 - WARRANTY ; PRODUCT CONDITION (AS‑IS)
All products are sold “as is” and “as available.” We warrant only that products are free from material defects at the time of delivery. This limited warranty does not cover normal wear and tear, loss of plating/finish over time, misuse, accidents, improper care, or unauthorized repairs. Your statutory rights under Indian Law remain unaffected. For eligible issues on delivery, please refer to our Refund & Returns Policy for remedies.
SECTION 19 - SEVERABILITY
If any provision of these Terms is determined to be unlawful, void or unenforceable, such provision shall be enforced to the fullest extent permitted by law and the unenforceable portion shall be deemed severed, without affecting the validity of remaining provisions.
SECTION 20 - WAIVER; ENTIRE AGREEMENT
Failure to exercise or enforce any right or provision shall not constitute a waiver. These Terms and any policies or operating rules posted by us on the site constitute the entire agreement between you and us and supersede prior agreements or communications regarding the Services. Any ambiguities shall not be construed against the drafting party.

You may not delegate, transfer or assign these Terms or any rights or obligations without our prior written consent. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice.

These Terms and any separate agreements whereby we provide you Services shall be governed by the laws of India. You and Atelier Diaphano agree to the exclusive jurisdiction and venue of the courts in Pune, Maharashtra, India.

You can review the most current version of these Terms at any time on this page. We may update or change these Terms by posting updates on our website. It is your responsibility to check our website periodically for changes. We will notify you of any material changes in accordance with applicable law, and changes will be effective on the date specified in the notice. Your continued use of the Services following changes constitutes acceptance.
